History of Corporate Operation

After the Suntec Group Public Company Limited had successfully completed its rehabilitation plan under the Bankruptcy Act, it was legally permitted to operate its business again from April 30, 2007 onwards. However, the permission was given under the condition that the normal trading of company stock in the SET could not be resumed until the company shall have achieved the income target operation to realize the profit as per the SET’s regulation, at which time the company can request permission to resume normal stock trading from the SET. But its stocks could not be traded in the Stock Exchange of Thailand (SET) until its performances and profit meet the criteria of the Stock Exchange before it could apply for the resumption of its stock trading in SET. In August 2007 the new investor group lead by Mr. Pongphan Sampawakoop and other investors acquired the increased shares of paid-up capital to obtain 78% of the total shares. The company’s name was also changed to Apex Development Public Company Limited, with “APX” being its new symbol in the Stock Exchange of Thailand (SET). The new business objective is to engage actively in real estate development. Hence forth Apex started to develop the new seaside resort project named “White Sand Beach”, Pattaya on approximately 30 rai of land area with a project value of approximately 3,500 Million Baht. It consists of :-

Mövenpick Hotel (North Tower), 34 floors Hotel Condominium, 264 units with facilities
Mövenpick Residences (South Tower), 37 floors Residential Condominium, 196 units with facilities
Mövenpick Pool Villas, 34 Villas with land

The objective plans of the company are to develop and sell Mövenpick Condotel, Mövenpick Residences and Pool Villas to investors and individual buyers in order to realize the earning and profit as envisaged according to project plan in order to apply for the resumption of trading of the company’s shares in the Stock Exchange of Thailand.

In 2014 the Company reached the achievement of the sale of Mövenpick Condotel to Siam at Cholburi Co. Ltd. and the realization of revenue and profit according to our objective. And by year-end 2015, Apex has earned a major income from our buyers for the sale and transfer of Mövenpick Residences and Mövenpick Pool Villas at its completion which entitled the company with the right to resume trading of our stock as per the rule and regulation of SET. Our Financial Advisor, the Asia Plus Advisory Co.Ltd., is assisting us to file for the resumption of our stocks trading to the Stock Exchange of Thailand (SET) by the end of March 2016, after the auditor has audited our Financial Balance Sheet for the fiscal year 2015.

Increase of registered Capital of the Company in 2015

A New Investor Group lead by Dr. Vivat Vithoontien and Mr.Sompong Chonkadeedamrongkul have agreed to acquire the increased capital of 713,410,256 shares at Baht 0.62, each amounted to Baht 442,314,358.72. Our new registered capital is Baht 2,857 million. The new investor group has already paid for the increase of capital of Baht 221,157,179.36 in 2 payments in February 2015 and December 2015. The last payment of Baht 221,157,179.36 will be executed in February 2016.
